Terms of Use

Last updated: August 2026

Effective date: 01. August 2026

These Terms and Conditions (the “Terms”) govern your access to and use of the KOOPLA mobile application, website and related services (together, the “Service”).

Please read these Terms carefully. By creating an account, selecting the acceptance box, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not create an account or use the Service.

These Terms form a contract between you and Eurodrama Entertainment, S.L., trading as KOOPLA (“KOOPLA,” “we,” “us” or “our”), with registered office at Vilamari 104, 08014 Barcelona, Spain, Spanish tax identification number ES B 72991425, registered in the Commercial Registry of Barcelona at [REGISTRATION DETAILS]. You can contact us at [LEGAL OR SUPPORT EMAIL] and [TELEPHONE NUMBER].

If another legal entity operates KOOPLA when the Service launches, the company information above must be replaced before these Terms are published.

1. What KOOPLA does

KOOPLA is a privacy-focused partner-notification tool. The Service enables users to establish private connections, for example by exchanging a KOOPLA identifier or QR code, and to send anonymous notifications informing connected persons of a possible exposure to a sexually transmitted infection (“STI”). The Service may also provide general information about STIs, testing, prevention and healthcare resources.

KOOPLA is intended to support communication and encourage appropriate testing and care. It does not verify the identity of the person who creates a connection, the relationship between connected users, whether sexual contact occurred, whether an STI report is accurate, or whether any particular person transmitted or acquired an infection.

An exposure notification means only that someone connected through KOOPLA has reported a possible exposure affecting that connection. It is not proof that you have an STI, that the reporting person has an STI, or that transmission occurred. Likewise, receiving no notification does not mean that you have not been exposed to an STI.

2. Not a medical or emergency service

KOOPLA does not provide medical care, medical diagnosis, clinical testing, prescriptions or treatment. Information made available through the Service is general educational information and is not a substitute for advice from a qualified healthcare professional.

Do not use the Service to make or delay decisions about testing, diagnosis, treatment, medication or safer-sex practices. If you receive an exposure notification, believe you may have been exposed to an STI, have symptoms, or have another health concern, contact an appropriate healthcare professional or sexual-health service.

KOOPLA is not an emergency service. If you believe you or someone else is in immediate danger or requires urgent medical attention, contact the emergency services in your location.

3. Eligibility

You must be at least 16 (sixteen) years old and legally capable of entering into a binding contract to create an account or use the Service. By using the Service, you confirm that you meet these requirements.

You may use the Service only where it is lawfully available to you. You must comply with all laws that apply to your use of the Service.

4. Your account

You must provide accurate and current account information and keep it updated. You are responsible for maintaining the confidentiality and security of your account credentials, verification methods, devices and KOOPLA identifiers. You must not give another person access to your account or transfer your account to anyone else.

You are responsible for activity carried out through your account unless the activity results from a security failure for which KOOPLA is legally responsible. Tell us promptly at [SECURITY OR SUPPORT EMAIL] if you believe your account, device, email address, QR code or identifier has been accessed or used without authorisation.

You may not create an account using another person’s email address or identity, create accounts through automated means, create multiple accounts to avoid restrictions, or create a new account after we have suspended or terminated you unless we give written permission.

5. Connections and anonymity

A KOOPLA connection is a technical link between accounts or identifiers. It does not confirm anyone’s identity, consent to sexual activity, physical contact, relationship status, or medical status.

The Service is designed to limit the information disclosed to recipients of anonymous notifications. However, no system can guarantee absolute anonymity. A recipient may infer the possible sender from timing, circumstances, the number of recent partners or information obtained outside KOOPLA. You must not use KOOPLA if sending a particular notification would place you or another person at risk. Where safety is a concern, consider seeking assistance from a healthcare professional, sexual-health clinic or appropriate support organisation.

You must not attempt to discover, trace, expose or publicly speculate about the identity of a person who sends an anonymous notification. You must not share notification details, screenshots, identifiers or other information in a way that harasses, threatens, identifies or could reasonably identify another person.

6. Sending exposure notifications

You may send an exposure notification only when you have a genuine, good-faith reason to believe that a person connected to you may need to know about a possible STI exposure. For example, this may follow a diagnosis, a test result, advice from a healthcare professional, symptoms that reasonably require partners to be informed, or another credible exposure notification.

You must select information carefully and honestly. You must not knowingly or recklessly submit false, misleading, exaggerated or outdated information. You must not send notifications as a joke, retaliation, threat, means of control, or method of harassment. You must not use a notification to accuse a recipient of transmitting an infection or to make statements about another person’s sexual behaviour or health.

KOOPLA may limit the number or frequency of connections and notifications, delay or block suspicious activity, request account reverification, or take other proportionate steps to protect users and the integrity of the Service.

7. Acceptable use

You must not, directly or through another person:

  • send a false or malicious STI report or exposure notification;

  • harass, intimidate, threaten, shame, discriminate against, defame, stalk or exploit another person;

  • attempt to identify an anonymous sender or recipient, or combine KOOPLA information with other data for that purpose;

  • impersonate another person or misrepresent your identity, age, authority, medical status or relationship with another person;

  • create a connection without the other person’s knowledge where the Service requires mutual participation;

  • use the Service to obtain, disclose or misuse another person’s personal data or health information;

  • upload or submit names, contact details, photographs, medical documents or other identifying information about another person unless the relevant feature expressly requests it and you are legally entitled to provide it;

  • publish or distribute private notifications, identifiers or connection information in a manner that may identify, embarrass or harm another person;

  • use the Service for advertising, solicitation, spam, fraud, phishing, trafficking, exploitation, illegal sexual services or any other unlawful purpose;

  • access another person’s account or interfere with another person’s use of the Service;

  • bypass usage limits, safety controls, access restrictions or security measures;

  • probe, scan or test the vulnerability of the Service without our prior written permission;

  • introduce malware or other harmful code;

  • scrape, harvest, crawl, copy or systematically extract data from the Service, whether manually or by automated means;

  • reverse engineer, decompile, disassemble or attempt to derive source code from the Service, except to the limited extent that applicable law expressly permits this despite a contractual restriction;

  • use the Service or its outputs to build, train or improve a competing product, identification system, profiling tool or artificial-intelligence model without our prior written permission; or

  • assist or encourage another person to do any of the above.

8. Information you provide

You retain any rights you have in information that you submit to the Service. You give KOOPLA a limited, non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, transmit and otherwise use that information solely as necessary to operate, secure, improve and provide the Service, enforce these Terms, and comply with law. This licence ends when the information is deleted from our systems, subject to reasonable technical backup periods and any retention required or permitted by law.

You confirm that you are legally entitled to provide the information you submit and that our permitted use of it will not violate another person’s rights or applicable law.

The way we collect, use, retain and protect personal data—including data that may reveal or concern health—is explained in the KOOPLA Privacy Policy. These Terms do not replace the Privacy Policy and acceptance of these Terms is not, by itself, consent to any processing activity that requires separate consent under data-protection law.

9. Reporting misuse and our enforcement

You can report suspected misuse, illegal content, security problems or violations of these Terms through [IN-APP REPORTING PATH] or by emailing [REPORTING EMAIL]. Please provide enough information for us to understand and assess the report, but do not send medical records or unnecessary personal information.

We may investigate suspected violations and take proportionate action, including warning a user, restricting functions, removing information, cancelling connections or notifications where technically possible, temporarily suspending an account, or terminating access. We may also preserve information or cooperate with competent authorities where required by law.

Where required by applicable law, we will give the affected user a clear statement of the main reasons for a restriction and information about any available appeal or complaint process. A user may challenge an enforcement decision by contacting [APPEALS EMAIL OR IN-APP PATH] within SIX MONTHS of being notified. We may decline to provide information where doing so would violate the law, undermine fraud or security controls, or expose another person’s rights or safety.

10. Plans, subscriptions and payment

KOOPLA may offer free and paid plans. The features, usage limits, price, billing period, applicable taxes and any trial terms will be shown before you purchase. Current offerings may change from time to time in accordance with these Terms and applicable law.

If you purchase an automatically renewing subscription, you authorise the relevant app store or payment provider to charge the stated subscription fee and applicable taxes for each billing period until you cancel. Unless stated otherwise at the time of purchase, subscriptions renew for the same period at the then-applicable price. We or the payment provider will give any notice of a price change required by law or platform rules.

You can manage or cancel an app-store subscription through your Apple App Store or Google Play account settings. Cancellation normally takes effect at the end of the current paid billing period, unless applicable law or the relevant platform provides otherwise. Deleting KOOPLA or deleting your KOOPLA account does not necessarily cancel an app-store subscription; you must also cancel it through the store used to purchase it.

Payments, billing disputes and refunds for purchases processed by Apple, Google or another third-party payment provider may also be governed by that provider’s terms. Nothing in this section limits any refund, withdrawal, conformity or other mandatory consumer right that applies to you.

11. Consumer rights and digital-service conformity

If you are a consumer, you have the mandatory legal rights that apply in your country of residence. Nothing in these Terms excludes, restricts or replaces those rights.

Where EU or Spanish consumer law applies, KOOPLA will supply paid digital services in conformity with the contract and will provide updates, including security updates, where legally required. If a paid part of the Service does not conform, you may be entitled to have it brought into conformity, receive a proportionate price reduction, terminate the relevant contract, or receive another remedy provided by applicable law.

If the law gives you a right to withdraw from a digital-service purchase, the legally required information and method for exercising that right will be presented during purchase or made available by the relevant app store or payment provider. If you expressly request immediate performance and acknowledge that doing so causes the loss of a statutory withdrawal right, this will apply only where and to the extent permitted by law.

12. Our licence to you

Subject to these Terms, KOOPLA grants you a personal, limited, revocable, non-exclusive, non-transferable and non-sublicensable licence to install and use the app on devices you own or control, solely for your personal, non-commercial use and in accordance with applicable app-store usage rules.

The Service, including its software, design, branding, logos, text, graphics and databases, is owned by or licensed to KOOPLA and is protected by intellectual-property laws. Except for the limited licence above, no right or licence is granted to you. You may not use KOOPLA’s name, trademarks or branding without our prior written permission.

13. Third-party services and links

The Service may depend on or link to third-party services, including app stores, device operating systems, cloud infrastructure, maps, analytics, testing-location information and healthcare-provider websites. KOOPLA does not control third-party services and is not responsible for their availability, accuracy, security or practices. Your use of them may be governed by separate terms and privacy policies.

References to a clinic, healthcare provider, laboratory, helpline, organisation or external resource do not necessarily constitute endorsement. You are responsible for confirming that a provider and its services are suitable for your needs.

14. Availability, maintenance and changes to the Service

We aim to provide a reliable Service, but uninterrupted or error-free availability cannot be guaranteed. We may carry out maintenance; address security, safety or legal issues; change technical requirements; introduce, modify or discontinue features; or impose reasonable usage limits.

Where a change materially and negatively affects a paid digital service supplied over a period of time, we will give advance notice where required by law and inform you of any right to terminate. We will not reduce mandatory consumer guarantees through this clause.

15. Updates

You may need to install updates to continue using the Service safely. Some updates may install automatically through your device or app-store settings. If you do not install required updates within a reasonable time after being informed of their availability and consequences, parts of the Service may not function properly, and our responsibility for resulting non-conformity may be limited to the extent permitted by law.

16. Privacy and security

Our Privacy Policy explains who controls your personal data, what data we collect, why and on what legal basis we process it, how long we retain it, who receives it, any international transfers, and how to exercise your rights.

You should review the Privacy Policy before using the Service. Where we ask for consent to process special-category data, such as health-related data, that request will be separate, specific and capable of being withdrawn as required by law. Withdrawing consent does not affect processing already lawfully carried out, but it may mean that some or all of the Service can no longer be provided.

We use technical and organisational measures designed to protect the Service and personal data. Nevertheless, no method of storage or transmission is completely secure. You are responsible for using appropriate device security, protecting your credentials and keeping your operating system and app version up to date.

17. Suspension, termination and account deletion

You may stop using the Service at any time. You may request account deletion through [IN-APP DELETION PATH]. Account deletion is subject to the retention rules described in our Privacy Policy and does not automatically cancel an app-store subscription.

We may restrict, suspend or terminate your access where reasonably necessary because you materially or repeatedly breach these Terms, create a risk of harm, misuse anonymous notifications, threaten the security or integrity of the Service, fail to pay an amount due, or where we are required to do so by law. Except in urgent, serious or legally restricted cases, we will normally give notice and a reasonable opportunity to resolve the issue before terminating a paid Service.

If we discontinue the entire paid Service for reasons unrelated to your breach, we will provide any notice, continued access, proportionate refund or other remedy required by law.

When these Terms end, your right to use the Service ends. Provisions that by their nature should survive—including provisions concerning intellectual property, payment obligations already incurred, liability, disputes and interpretation—will remain in effect.

18. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an “as available” basis. KOOPLA does not warrant that every notification is accurate, complete, timely or authentic; that every relevant person will receive or act on a notification; that the Service will identify every potential exposure; or that using the Service will prevent infection or transmission.

STI incubation periods, testing windows, symptoms and clinical recommendations vary by infection, individual circumstances, location and changes in medical guidance. Any general information in KOOPLA must not be treated as personalised medical advice.

Nothing in these Terms excludes any warranty or guarantee that cannot lawfully be excluded, including mandatory consumer rights concerning digital services.

19. Liability

KOOPLA does not exclude or limit liability where doing so would be unlawful. In particular, nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, breach of mandatory consumer rights, or any other liability that cannot legally be excluded or limited.

Subject to the paragraph above, KOOPLA is responsible for loss or damage that is a reasonably foreseeable result of our breach of these Terms or our failure to use reasonable care and skill. We are not responsible for loss or damage that is not reasonably foreseeable, for harm caused by false or misleading information submitted by another user where we are not legally responsible for that information, or for your use of the Service contrary to these Terms or to professional medical advice.

The Service is provided for personal and non-commercial use. To the maximum extent permitted by law, KOOPLA is not liable for business losses, including loss of profit, revenue, contracts, business opportunity, anticipated savings, goodwill or data arising from use of the Service for a trade, business or profession.

20. Governing law and disputes

We encourage you to contact us first at [COMPLAINTS EMAIL] so that we can try to resolve a concern directly.

These Terms are governed by Spanish law. If you are a consumer resident in another country, you also retain the protection of any mandatory provisions of the law of your country of residence that cannot be excluded by agreement.

The courts of Spain will have jurisdiction, except that if you are a consumer you may bring a claim in any court available to you under mandatory consumer and jurisdiction law, including, where applicable, the courts of your place of residence. Nothing in these Terms requires a consumer to waive a mandatory right to seek judicial or out-of-court redress.

Information about recognised consumer alternative-dispute-resolution bodies in the European Union may be available from the competent consumer authority in your country. KOOPLA’s participation in a particular alternative-dispute-resolution procedure will be stated here if and when participation is required or voluntarily accepted: [ADR ENTITY AND WEBSITE, OR STATE THAT KOOPLA IS NOT COMMITTED TO A SPECIFIC ADR ENTITY WHERE LEGALLY PERMITTED].

21. Changes to these Terms

We may update these Terms to reflect changes to the Service, law, safety requirements, business operations or other legitimate reasons. We will make the current version available in the app and on [TERMS URL].

If a change materially affects your rights or obligations, we will provide reasonable advance notice through the Service, by email or by another appropriate method, unless an urgent change is required for legal, security or safety reasons. Where required by law, we will ask you to accept the revised Terms. Your continued use after the effective date of a validly notified change constitutes acceptance only to the extent permitted by law. If you do not agree, you must stop using the Service and may terminate your account and any affected contract, subject to applicable law.

22. General terms

If any provision of these Terms is held to be invalid or unenforceable, it will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.

Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not transfer your rights or obligations under these Terms without our prior written consent. We may transfer these Terms as part of a merger, reorganisation, sale of assets or transfer of the Service, provided that doing so does not reduce your mandatory rights; we will notify you where required by law.

These Terms, together with the Privacy Policy and any purchase-specific terms shown to you, constitute the agreement between you and KOOPLA concerning the Service. If purchase-specific terms conflict with these Terms, the purchase-specific terms prevail for that purchase, except where applicable law requires otherwise.

23. Terms for Apple App Store users

If you download or use KOOPLA through Apple’s App Store, the following additional terms apply:

  1. These Terms are between you and KOOPLA, not Apple. KOOPLA, not Apple, is solely responsible for the app and its content.

  2. Your licence is limited to a non-transferable licence to use the app on Apple-branded products that you own or control, as permitted by Apple’s applicable usage rules, except that the app may be accessed and used by other accounts associated with the purchaser through Family Sharing or volume purchasing where Apple permits this.

  3. KOOPLA, not Apple, is responsible for maintenance and support for the app as required by these Terms or applicable law. Apple has no obligation to provide maintenance or support.

  4. If the app fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price paid for the app, if any. To the maximum extent permitted by law, Apple has no other warranty obligation. KOOPLA is responsible for other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to an applicable warranty, subject to these Terms and applicable law.

  5. KOOPLA, not Apple, is responsible for addressing claims relating to the app or your possession or use of it, including product-liability claims, claims that the app fails to comply with legal or regulatory requirements, and claims under consumer-protection, privacy or similar laws.

  6. KOOPLA, not Apple, is responsible for investigating, defending, settling and discharging any third-party claim that the app or your possession and use of it infringes intellectual-property rights.

  7. You represent that you are not located in a country subject to a United States Government embargo or designated by the United States Government as a “terrorist supporting” country, and that you are not listed on any United States Government list of prohibited or restricted parties.

  8. You must comply with applicable third-party terms when using the app, including your mobile-network and Apple Media Services terms.

  9. Apple and its subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, Apple has the right to enforce these App Store provisions against you as a third-party beneficiary.

24. Terms for Android and Google Play users

If you download, purchase or use KOOPLA through Google Play, the following additional terms apply:

  1. Unless the applicable Google Play terms provide otherwise for a particular transaction, these Terms concerning the KOOPLA Service are between you and KOOPLA. Google is not responsible for operating KOOPLA or for its content, medical information, partner-notification functions, maintenance or user support.

  2. Your use of Google Play and any version of KOOPLA distributed through Google Play is also subject to the applicable Google Play Terms of Service and usage rules. If these Terms conflict with mandatory Google Play usage rules concerning installation or use of the Android app, the Google Play rules apply to that extent.

  3. Your licence to use the Android app is personal, limited, revocable, non-exclusive, non-transferable and non-sublicensable. You may install and use it only on compatible Android devices that you own or control, or as otherwise permitted by Google Play’s applicable rules.

  4. Where Google Play processes a purchase or subscription, Google or its relevant affiliate or payment partner processes the payment under its own payment terms. The price, billing period, renewal conditions, trial terms and applicable taxes will be displayed before purchase.

  5. Google Play subscriptions automatically renew unless cancelled before the end of the current billing period, subject to the terms shown at purchase and applicable law. You may manage or cancel a Google Play subscription through the Google Play subscription settings linked from the KOOPLA account or subscription screen. Uninstalling KOOPLA or deleting your KOOPLA account does not cancel a Google Play subscription.

  6. Cancellation normally prevents future renewal charges while access continues until the end of the paid billing period. Refunds are handled in accordance with applicable consumer law, Google Play’s refund rules and any additional refund commitment made by KOOPLA. Nothing in this section limits a mandatory right to withdraw, obtain a refund, require conformity, reduce the price or terminate a digital-service contract.

  7. KOOPLA, rather than Google, is responsible for responding to questions or claims concerning KOOPLA’s functionality, content, legal compliance, privacy practices and your use of the Service, except to the extent Google is responsible under its own terms or applicable law.

  8. Google Play is a distribution and payment platform. Its distribution of KOOPLA does not make Google a healthcare provider, testing service or source of any KOOPLA exposure notification.

  9. You must comply with applicable third-party terms when using the Android app, including the terms of your device manufacturer, mobile-network provider, Google account and Google Play.
